1. Acceptance of Terms & Legal Binding 接受條款與法律約束力
By accessing the MoodLab digital ecosystem, engaging in offline transactions, or utilizing any MoodLab-associated services, the user irrevocably agrees to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between the user and MoodLab. If you do not agree to every provision herein, you are strictly prohibited from using our services.
一旦使用 MoodLab 數位生態系統、進行線下交易或使用任何相關服務,即視為用戶不可撤銷地同意受本條款與條件約束。本條款構成用戶與 MoodLab 之間具法律約束力的協議。如不同意其中任何條文,請立即停止使用。
2. Service "As-Is" and Absolute Disclaimer 服務「按現狀」與絕對免責
- ●Non-Warranty: All services, physical products, and digital infrastructures (including but not limited to the "Express Checkout System" and "MoodLab AI") are provided on an "As-Is" and "As-Available" basis, without any warranties of any kind, either express or implied.
無保證聲明: 所有服務、實體產品及數位基礎設施(包括但不限於「快速結帳系統」與「MoodLab AI」)均按「現狀」及「可用性」基準提供,不提供任何明示或暗示之保證。 - ●Accuracy & Continuity: MoodLab does not warrant that service functions will be uninterrupted, error-free, or that the results obtained from AI interactions will be accurate or reliable. All risks as to the quality and performance of the digital services are with the user.
準確性與持續性: MoodLab 不保證服務功能將不受干擾、無錯誤,亦不保證 AI 交互結果的準確性或可靠性。所有關於數位服務品質與性能的風險均由用戶承擔。
3. Absolute Sunset Clause: Final Termination Date
絕對日落條款:最終服務終止日
- ●Termination Post-July 30, 2026: All digital hosting, online functionalities, API integrations (NIM API), and, crucially, all customer support services (including after-sales inquiries and identity verification) may be unilaterally terminated by MoodLab at any time after July 30, 2026.
2026 年 7 月 30 日後之終止: MoodLab 有權在 2026 年 7 月 30 日 之後的任何時間,單方面終止所有數位託管、線上功能、API 整合(NIM API)以及最重要的所有客戶服務(包括售後查詢與身份核實)。 - ●No Post-Termination Duty: Following this date, MoodLab shall have zero legal or administrative duty to maintain data, verify transaction records, or respond to service requests. Users are responsible for securing their own transaction evidence prior to this date.
終止後無義務: 該日期後,MoodLab 不承擔任何維護數據、核實交易記錄或回應服務請求的法律或行政義務。用戶有責任在該日期前自行妥善保存交易憑證。
4. Financial Finality & Limitation of Liability 財務終結與責任限制
- ●No Refund Policy: All sales are final and non-refundable, except where required by the mandatory laws of Hong Kong. MoodLab possesses the sole and final discretionary power to determine the eligibility for any return or exchange.
無退款政策: 除非香港強制性法律要求,否則所有交易均為終結且不可退款。MoodLab 擁有判定退換貨資格的唯一且最終裁量權。 - ●Aggregate Liability Cap: In no event shall MoodLab’s total aggregate liability exceed the actual purchase price paid by the user for the single product or service giving rise to the claim. MoodLab is exempt from all liability for loss of profits, data, or any indirect consequential damages.
責任上限: 在任何情況下,MoodLab 的總累計責任均不得超過用戶就該索賠項目所支付的實際購買價格。對於利潤損失、數據丟失或任何間接後續損害,MoodLab 概不負責。
5. Transfer of Risk and Logistics 免責與物流風險轉移
- ●FOB (Free On Board) Destination Transfer: Risk of loss and title for products pass to the user upon MoodLab's delivery of the item to the carrier (e.g., SF Express, HK Post). MoodLab is not liable for carrier-inflicted damage, theft, or misdelivery.
物流風險轉移: 產品的遺失風險與所有權在 MoodLab 將貨物交付予承運商(如順豐、香港郵政)時即轉移至用戶。對於承運商造成的損毀、盜竊或誤送,MoodLab 概不負責。 - ●Data Integrity Duty: Users are solely responsible for ensuring the accuracy of information entered via the Express Checkout. MoodLab is under no duty to rectify delivery failures or re-ship items resulting from user-side data discrepancy.
數據準確性義務: 用戶需全權負責快速結帳系統中輸入資訊的準確性。對於因用戶端數據偏差導致的遞送失敗,MoodLab 無義務修正或重新發貨。
6. Experimental AI and NIM API Coherence Policy 實驗性 AI 與連貫性政策
- ●Experimental Nature: MoodLab AI is an experimental deployment. MoodLab expressly disclaims all responsibility for the output generated by AI models. Any reliance on AI advice for legal, financial, or technical decisions is strictly at the user's own peril.
實驗性質: MoodLab AI 屬實驗性部署。MoodLab 明確聲明對 AI 模型生成的輸出不承擔任何責任。用戶將 AI 建議用於法律、財務或技術決策之風險完全由用戶自行承擔。 - ●Coherence & Safety Rules: Users must not manipulate the AI to violate safety protocols. MoodLab reserves the right to terminate access for any user attempting to exploit the API infrastructure.
連貫性與安全規則: 用戶不得操縱 AI 違反安全協議。對於嘗試濫用 API 基礎設施的用戶,MoodLab 保留終止其訪問權限的權利。
7. Indemnification 彌償條款
The user agrees to indemnify, defend, and hold harmless MoodLab and its operators from and against any claims, liabilities, or expenses (including legal fees) arising from the user's breach of these terms or misuse of the services.
用戶同意賠償並使 MoodLab 及其營運者免受因用戶違反本條款或誤用服務而產生的任何索賠、責任或費用(包括法律費用)。
8. Intellectual Property and Proprietary Code 知識產權與專有代碼
MoodLab retains full ownership of all intellectual property, including brand identity, custom software components, and UI/UX designs. No rights are transferred through the use of the service or purchase of products.
MoodLab 保留所有知識產權的完整所有權,包括品牌標識、定制軟體組件及 UI/UX 設計。使用服務或購買產品並不代表任何權利的轉移。
9. Force Majeure & Infrastructure Interruption 不可抗力與基礎設施中斷
MoodLab shall not be held liable for any performance failure caused by events beyond its reasonable control, including but not limited to the failure of third-party cloud hosts (Google Firebase, Vercel), network strikes, or governmental actions.
對於因超出合理控制範圍的事件(包括但不限於第三方雲端託管商 Google Firebase、Vercel 的故障、網絡罷工或政府行為)所導致的任何履行失敗,MoodLab 概不負責。
10. Governing Law and Severability 管轄法律與可分割性
- ●Jurisdiction: These terms are governed exclusively by the laws of the Hong Kong Special Administrative Region. Any disputes are subject to the exclusive jurisdiction of the Courts of Hong Kong.
管轄權: 本條款僅受香港特別行政區法律管轄。任何爭議均應提交香港法院專屬管轄。 - ●Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
可分割性: 如本條款之任何條文被裁定為不可執行,其餘條文應繼續保持完整效力。
11. Final Contact and Records 最終聯繫與記錄
Following the service termination window specified in Clause 3, MoodLab will not maintain active support channels. All communication regarding these terms should be directed to the MoodLab support page prior to the sunset date.
在第 3 條指定的服務終止窗口之後,MoodLab 將不再維持活躍的支援渠道。所有關於本條款的溝通應在日落日期前透過 MoodLab 支援頁面 進行。
12. Shipping Duties and Data Security 運輸責任與數據安全
- ●Customer Responsibility: Users are responsible for providing accurate shipping information. MoodLab is not liable for delivery failures resulting from incorrect or incomplete data provided by the user.
客戶責任: 用戶需提供準確的運送資訊。對於因用戶提供的錯誤或不完整資料導致的遞送失敗,MoodLab 概不負責。 - ●Data Security: MoodLab implements industry-standard security measures to protect user data. However, no system can be completely secure. Users acknowledge and accept the inherent risks of data transmission and storage in digital environments.
數據安全: MoodLab 實施業界標準的安全措施來保護用戶數據。然而,沒有任何系統能夠完全安全。用戶承認並接受在數位環境中數據傳輸和存儲的固有風險。 - ●Third-Party Carriers: MoodLab partners with third-party logistics providers (i.e. Hong Kong Post) for delivery.
第三方承運商: MoodLab 與第三方物流提供商(如香港郵政)合作進行配送。 - ●Unclaimed Packages: If a package is returned to MoodLab due to failed delivery attempts, the user may be responsible for additional shipping fees to resend the item. Customers who request reshipment after three days of notification will incur an additional service fee on top of the extra shipping cost.
未領取包裹: 如果包裹因遞送失敗而被退回 MoodLab,則用戶可能需要支付額外的運費以重新發送商品。如果客戶在收到通知的三天後方才要求重新發送,將在額外運費之外收取額外的服務費。 - ●Assumption of Unwanted Packages: If a user fails to inform MoodLab of a resend request within 30 days of the original delivery date, MoodLab reserves the right to assume that the user has accepted the return of the item and will not be responsible for any further actions regarding the package. No refunds or reshipments will be processed after this period.
未通知重新發送的包裹: 如果用戶未在原始交付日期後30天內通知 MoodLab 重新發送請求,MoodLab 保留假設用戶已接受退回物品的權利,並且不再對包裹的任何進一步操作負責。此期間之後將不處理任何退款或重新發貨。
